Vection Technologies Expands APAC Presence with Monogic Acquisition

Vection Technologies (ASX: VR1) expands its APAC footprint with the acquisition of Monogic Limited, integrating AI, XR, and digital marketing expertise to enhance enterprise brand transformation capabilities.

Vection Technologies Ltd (ASX: VR1, OTC: VCTNY), a provider of enterprise-grade extended reality (XR) and artificial intelligence (AI) solutions that bridge physical and digital environments, has announced a binding agreement to acquire Hong Kong and Singapore-based Monogic Limited, a digital marketing and communications agency. The deal aims to accelerate Vection’s expansion across the Asia-Pacific region.

Strategic Move into High-Growth Markets

The acquisition of Monogic extends Vection’s footprint across the fast-growing digital brand engagement and immersive technology sectors. Monogic, which serves clients such as Henderson Land Development, Marriot International, and Towngas, specialises in marketing, public relations, and brand storytelling across industries including food and beverage, hospitality, and property.

Completion of the deal is targeted by 31 December 2025, pending due diligence and shareholder approvals. Vection will acquire 100% of Monogic through an all-scrip transaction valued at approximately A$976,000 upfront, with a performance-based earn-out of up to A$628,000 in shares tied to FY2026 revenue and EBITDA targets.

Strengthening Regional Capabilities

Vection said the move aligns with its strategy of pursuing “capital-efficient, earnings-accretive” acquisitions. Monogic is expected to contribute about A$1.8 million in FY2025 revenue and A$275,000 in EBITDA, reflecting a margin of 15.4%. The deal implies a valuation of 3.5 times FY2025 EBITDA, with minimal shareholder dilution estimated at between 1.1% and 1.8%.

The integration, expected within a month of completion, will see Monogic’s creative and content teams merged with Vection’s AI, extended reality, and spatial computing solutions. The company anticipates cross-selling opportunities across industries seeking to unify brand engagement, analytics, and immersive technology.

Unlocking Cross-Selling and New Revenue

Monogic’s established base in Hong Kong and Singapore provides Vection with a regional launchpad for growth. The acquisition adds multilingual expertise and deep client relationships that could support Vection’s rollout of enterprise AI and spatial computing products.

Potential synergies include virtual brand activations using Vection’s XR environments, AI-enhanced marketing analytics, and 3D-powered retail and hospitality experiences. Vection also plans to introduce AI-driven creative automation tools for campaign production, combining both companies’ strengths in data-driven engagement.

The acquisition follows Vection’s recent purchase of Australian-based DX Labs and strengthens its position in the digital transformation ecosystem. The company expects immediate earnings contributions and improved diversification as it expands its integrated technology and marketing service offering across the region.
